These Terms of Membership (“Terms”) are a legal agreement between United Medical Management LLC, doing business as TJ Ahn Coaching & Consulting LLC, located at 1640 Pleasant Lane, Glenview, IL 60025, USA (“the Syndicate,” “we,” “us,” or “our”), and you, the individual member (“Member,” “you”). The Private Practice Syndicate is a private mastermind membership for practice owners. It provides live group coaching, one-on-one onboarding, an on-demand course library, a private member community, direct access to Dr. TJ Ahn between calls, and in-person member meetings.
Read carefully
By enrolling, checking the acceptance box at checkout, submitting payment, or accessing any Syndicate call, recording, course, or community, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not enroll and do not access any Syndicate materials.
What Membership Includes
Membership is a rolling monthly seat in a private mastermind. It includes:
- A one-on-one onboarding call with Dr. Ahn
- Live group coaching calls each month, in formats that rotate between peer masterminding and teaching
- Access to the full on-demand course library for as long as your membership stays active
- A private online member community
- Direct access to Dr. Ahn by email between calls
- A seat at in-person member meetings held during your membership
Cadence flexes. Call frequency and format vary by month, including around in-person meetings and holidays. Calls are recorded and posted, so a missed session is not a breach of these Terms by either of us. Travel, lodging, and meals for in-person meetings are your own expense unless we state otherwise.
What is not included. Membership is coaching and consulting, done with you. It does not include work performed for you. Graphic design, page and funnel build-out, software and subscriptions, advertising spend, prospect list purchase, and email or ad campaign management are not included, and are quoted separately if you want them.
Membership and Billing
The Syndicate is a paid, recurring membership. Your access is conditional on payment of the applicable membership fee.
No fixed term. There is no contract, no minimum term, and no annual commitment. Dr. Ahn asks members for a twelve month commitment because meaningful change in a practice usually takes about that long. That is a request, not an obligation, and nothing in these Terms binds you to it.
Recurring billing. Your payment method is charged automatically at the start of each billing cycle until you cancel. By enrolling, you authorize these recurring charges.
Rate lock. The rate shown at the time you enroll is locked for as long as your membership stays active and in good standing. We will not raise it, whatever the rate becomes for members who join after you. A failed payment does not break that continuity if you bring the account current within 30 days. If you cancel and later rejoin, current standard pricing applies.
Fee changes. We may change the membership rate offered to new members at any time. A change to that rate does not affect your locked rate for as long as your membership stays active and continuous.
Paying in advance. If you choose to prepay for a year, you receive the discount stated at the time of purchase. Prepaying does not create a fixed term and does not change your right to cancel under Section 3.
Failed payment. If a payment fails, we will contact you. Access may be suspended if the balance is not resolved within ten days.
Cancellation
You may cancel at any time, for any reason, with no penalty and no exit fee.
How to cancel. Email support@drtjahn.com. That is the whole process. There is no form to complete, no retention call to sit through, and no notice period beyond the one below.
When it takes effect. Cancellation stops all future billing. To avoid the next charge, email us before your next billing date. Your membership stays active through the end of the period you have already paid for, and you keep full access to calls, the library, and the community until it ends.
Refunds
Membership fees are not refunded for time already served. Because you may leave at any time, and are never billed for a period you have not chosen to enter, there are no partial refunds for unused time once a billing period has begun.
The Syndicate does not offer a trial period, a free period, or a money-back guarantee. The ability to leave at any time is the protection you are given instead.
Prepaid memberships. If you prepaid for a year and cancel before it ends, we refund your unused whole months. Unused months are valued by charging the standard monthly rate in effect when you enrolled for each month you were a member, crediting what you actually paid, and refunding the difference. The prepayment discount is consideration for the full year, so it is forfeited if you leave early. If the calculation produces no balance, no refund is due.
If we discontinue the program. If we stop running the Syndicate, we will refund any prepaid, unused portion.
Business Education Only. No Professional Advice.
The Syndicate provides business education, coaching, mentorship, and peer discussion for practice owners. Everything provided, including calls, recordings, course materials, templates, scripts, frameworks, community discussion, and any communication with Dr. Ahn or our team, is for educational and informational purposes only.
It is not medical advice, legal advice, tax advice, accounting advice, financial or investment advice, or employment law advice. Your membership creates no attorney-client, accountant-client, or fiduciary relationship. Dr. Ahn is a licensed podiatric physician, and nothing offered through the Syndicate is provided in a clinical capacity or creates a physician-patient relationship with you or with anyone you treat.
Before acting on anything you learn here, engage your own attorney, accountant, and other qualified advisors, licensed in your jurisdiction and familiar with your situation.
Your Practice, Your Responsibility
You are a licensed, independent professional and the owner of your own business. Every decision you make in your practice is yours alone.
You are solely responsible for:
- Your compliance with HIPAA and all federal and state privacy and security law
- Your compliance with the Stark Law, the federal Anti-Kickback Statute, and any state equivalents, including in any fee arrangement, referral relationship, or ownership structure you adopt
- Your compliance with corporate practice of medicine rules, fee-splitting rules, and licensing and scope of practice rules in every state where you practice
- Your billing, coding, and documentation, including for any cash-pay, membership, or concierge program you introduce
- Your patient advertising, marketing claims, testimonials, and informed consent practices, including compliance with FTC rules and your licensing board's advertising rules
- Your employment, contractor, and payroll decisions
- Your business structure, entity formation, and tax elections
Materials we provide are examples and starting points, not compliant documents for your jurisdiction. Any template, script, policy, or agreement supplied through the Syndicate must be reviewed by your own counsel before you use it.
AI Tools, Patient Data, and HIPAA
The Syndicate teaches AI deployment for administrative, operational, and financial workflows. You decide what to deploy in your practice, and you carry the compliance obligation for it.
We are not your business associate. We do not receive, process, store, or transmit protected health information on your behalf, and these Terms do not create a business associate relationship under HIPAA. Do not send us protected health information, do not post it in the community, and do not share it on calls. Redact patient identifiers before bringing any example into the room.
Vendor compliance is yours. You are responsible for executing a business associate agreement with any AI vendor, model provider, or software platform that will touch protected health information, for confirming that the vendor's terms permit that use, and for the security configuration of anything you deploy. We do not warrant that any third-party tool discussed in the Syndicate is HIPAA compliant or suitable for your practice.
No Warranties and No Guarantee of Results
The Syndicate guarantees no specific financial, clinical, or practice result. Membership provides business coaching only. Your outcome depends on factors specific to you, including your market, your specialty, your team, your capital, your effort, and your consistency.
Any figure, case study, screenshot, testimonial, or example presented on our website, on calls, or in our materials reflects the experience of an individual member. It is not typical, promised, projected, or guaranteed, and some members earn substantially less. Business carries inherent risk, including the risk of financial loss, and you may lose money. Membership is provided on an “as is” basis to the fullest extent permitted by law.
Limitation of Liability
To the fullest extent permitted by law, in no event will United Medical Management LLC, its owners, officers, employees, contractors, instructors, and affiliates (the “Released Parties”) be liable to you, or to any party related to you, for any indirect, incidental, consequential, special, or punitive damages, or for any loss of business profits, lost revenue, lost data, or other pecuniary loss, whether under a theory of contract, warranty, tort including negligence, products liability, or otherwise, and even if advised of the possibility of such damages.
The Released Parties' total aggregate liability for any claim relating to the Syndicate will not exceed the total amount you paid to us in the twelve months preceding the claim.
Indemnification
You will, at your own expense, defend, indemnify, and hold harmless the Released Parties from any and all claims, actions, liabilities, injuries, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with your practice and business decisions, your patients, your employees and contractors, your use or application of any Syndicate content, your regulatory compliance, or your breach of these Terms.
Intellectual Property, License, and Trademarks
Everything provided through the Syndicate is our property. That includes call recordings, course videos, slides, workbooks, scripts, frameworks, standard operating procedures, prompt libraries, templates, spreadsheets, checklists, images, and audio, together with all related copyright, trademark, trade secret, and other intellectual property rights, under United States law and international treaty.
Your license. You are granted a limited, personal, non-exclusive, non-transferable, revocable license to use these materials for the duration of your membership, for one purpose: operating and growing your own practice.
You may:
- Implement what you learn in your own practice
- Adapt materials internally for your own use
- Train your own staff on them
You may not:
- Copy, republish, resell, license, or distribute the materials
- Teach them to any third party
- Use them in your own course, coaching program, mastermind, or consulting offer
- Share your login or your access with anyone
- Record, screen-capture, transcribe, or re-post calls or community content
- Create competing or derivative materials for distribution
AI and shared systems. You may use these materials with AI tools inside your own practice. You may not upload, ingest, or index them into any public, shared, or third-party model, dataset, assistant, or agent that makes them available to anyone outside your practice.
When membership ends. Your license and your access end. You may keep operating whatever you have already built into your own practice. You may not continue to distribute, teach, publish, or resell our materials, and you may not use them to build a competing offer.
Trademarks. These Terms grant you no right in any trademark or service mark we use, including “The Private Practice Syndicate.” You may not describe yourself as certified, endorsed, accredited, or affiliated by us, during or after your membership, without our prior written consent.
Your work stays yours. What you create in your own practice remains yours: your marketing content, your domains, your websites, your patient materials, and the systems you build. This section claims nothing you make.
Confidentiality
What is said in the room stays in the room. Members share real financial figures and real problems, and that only happens because it is protected.
You may not disclose, publish, repeat, screenshot, record, or forward outside the membership any of the following:
- Another member's financial information, practice performance, business plans, or personal circumstances
- Another member's identity as a member of the Syndicate
- Community posts and threads
- Call content and recordings
- Any login credential
What you can always share. Your own contributions, your own results, and what you personally learned and applied. Nothing in this section stops you from talking about your own experience.
This section survives cancellation or termination and binds you in perpetuity.
No Cross-Selling and No Solicitation
The Syndicate is a room of peers, not a marketplace. Nobody in it is anybody's prospect. This section is the enforceable version of that.
Without our prior written consent, you may not:
- Promote, pitch, advertise, or sell your own products, services, investments, or offers to members, or those of any third party
- Use the member roster, the community directory, call attendance, or any member contact information as a prospect or lead list
- Send unsolicited commercial messages to members by direct message, email, text, or any other channel
- Recruit members into another mastermind, coaching program, membership, affiliate program, network marketing organization, or investment opportunity
- Use call time, hot seats, or community posts to promote your own business rather than to participate
What is allowed. This section restricts unsolicited commercial outreach, not collegiality. You may respond when a member asks you for something. You may refer patients and accept referrals. You may enter partnerships and joint ventures that both parties walked into. You may say what you do when the discussion calls for it. The line is who started the commercial conversation.
Survival. This section applies for the duration of your membership and for twelve months after it ends.
Violation is grounds for immediate removal under Section 15, with no refund of the current period. Because damage to the trust inside the room cannot be adequately measured in money, we may also seek injunctive relief without posting bond, in addition to any other remedy available to us.
Recordings, Likeness, and Testimonials
Calls are recorded. Group coaching calls, and portions of in-person member meetings, are recorded so that members who cannot attend do not fall behind. By participating, you consent to being recorded, and you grant us the right to use those recordings inside the membership, including in the course library and for future members.
External marketing is separate. We will not use your name, image, voice, practice name, or financial results in any public marketing, website, advertisement, or social media post without your separate written permission. You may withdraw that permission for future use at any time by emailing support@drtjahn.com, though we are not obligated to recall materials already printed, distributed, or published.
Testimonials. If you give a testimonial, you agree that it will be accurate and truthful, and you grant us permission to use it in our marketing until you withdraw it. Testimonials we publish reflect individual experience and are presented as such.
Your own recording. You may not record, transcribe, or screen-capture calls or community content yourself. See Sections 11 and 12.
Community Conduct and Removal
Members are expected to engage professionally, in good faith, and with respect for the people in the room.
We may suspend or remove any member, at our sole discretion, for breach of these Terms, for unlawful conduct, for harassment or discriminatory conduct, or for conduct that damages the room or the people in it. Removal ends your access immediately and stops future billing. The current period is not refunded. If you prepaid, unused whole months are refunded on the basis described in Section 4.
Public statements. You may say whatever you honestly think about the Syndicate, publicly, including that you did not find it worth the money. Nothing here restricts your review. What you may not do is disclose confidential room content under Section 12, or publish statements about us or about another member that you know to be false.
Non-Transferability
Membership is personal to you as an individual. You may not assign, transfer, share, resell, or gift your membership, your login, or any right under these Terms, whether to a colleague, an associate, an employee, a partner, or another entity. One seat is one person.
Changes to These Terms
We may update these Terms from time to time by posting a revised version at privatepracticesyndicate.com/terms with a new last updated date. That page is the current and controlling version. For changes that materially affect your rights, we will notify active members at least 30 days before they take effect. Continued membership after that date means you accept the updated Terms.
Entire Agreement
These Terms are the entire agreement between you and United Medical Management LLC concerning your membership. They supersede and replace all prior agreements, proposals, representations, and understandings, whether oral or written, including any previously signed Consulting Service Agreement, Syndicate Mastermind Agreement, or addendum relating to this program or to any predecessor program.
If any provision of these Terms is held unenforceable, the remainder stays in full effect and that provision is limited only to the minimum extent necessary. Our failure to enforce any provision is not a waiver of it.
Governing Law and Venue
These Terms are governed by and interpreted in accordance with the laws of the State of Illinois and of the United States, without regard to conflict of law rules. Any dispute will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to that jurisdiction and venue.
Attorneys' Fees
If any action or proceeding is brought to enforce or interpret these Terms, the prevailing party is entitled to recover its reasonable attorneys' fees and costs, as fixed by the court, as part of any award or judgment.

By checking the box at checkout, you acknowledge that you have read, understood, and agree to all of these Terms, including that your membership renews monthly until you cancel, that fees are not refunded for time already served, that the Syndicate is business education and not medical, legal, tax, or financial advice, that you remain solely responsible for compliance in your own practice, and that the intellectual property, confidentiality, and no-cross-selling sections continue to bind you after you leave.
